Section 1 – Scope of application, deviating conditions

1. the following General Terms and Conditions apply to all deliveries, services and offers of X-Line24 GmbH (hereinafter also referred to as “X-Line24”, “we” or “us”) in the version valid at the time of conclusion of the contract. By concluding the contract, the buyer (hereinafter also referred to as “customer”) recognizes their exclusive validity. These terms and conditions apply to all business relationships with our B2B customers, even if their validity has not been expressly agreed again.

2. These General Terms and Conditions apply exclusively to business-to-business (B2B) transactions and to the sale of products offered under the X-Plast24 label. This includes in particular sales via the website xplast24.de as well as sales via trade fairs, catalogs, brochures or other distribution channels organized by X-Line24 GmbH. Consumers within the meaning of Section 13 of the German Civil Code (BGB) are excluded from this scope.

3. deviating, conflicting or supplementary general terms and conditions of the customer shall not become part of the contract, even if we do not expressly object to their validity.

4. deviations from or additions to these terms and conditions must be made in writing.

Section 2 – Formation of the contract

1 Our offers are subject to change and non-binding. Orders are binding for the customer. The contract is only concluded with our written order confirmation or delivery of the goods.

2. certain products (e.g. for laboratory or medical use) may only be supplied to professional users. We reserve the right to demand suitable proof of expertise or professional use.

Section 3 – Delivery / Shipment / Transfer of risk

1. delivery deadlines are only binding if they have been expressly confirmed in writing. In the event of delays in delivery due to force majeure or events for which we are not responsible, the delivery period shall be extended accordingly.

2. partial deliveries are permissible, insofar as reasonable for the customer.

3. Delivery is made at the customer’s risk. Risk shall pass to the customer upon handover to the transportation service provider.

4. the customer is obliged to inspect the goods immediately upon receipt and to report any recognizable defects in text form within 5 working days.

5. production-related deviations in color, shape and dimensions within customary tolerances do not constitute a defect.

6 Terms of delivery / Incoterms: Unless expressly agreed otherwise, our deliveries shall be made in accordance with Incoterms® 2020 EXW (ex works), Paderborn. Other terms of delivery (e.g. DAP, DDP) require written agreement.

Section 4 – Prices / Terms of payment

1. the prices valid at the time of the order plus shipping costs and statutory VAT shall apply.

2. Payments shall be due immediately and without any deductions, unless otherwise agreed in writing. In the event of late payment, we reserve the right to charge interest on arrears at the statutory rate.

3. in the event of late payment, we reserve the right to charge reminder fees of up to EUR 10.00 per reminder as well as default interest in accordance with § 288 BGB. The debtor shall bear any further costs, such as those incurred by engaging a debt collection service provider.

4. the invoice is sent electronically in PDF format to the e-mail address provided by the customer as standard. There is no entitlement to postal delivery.

Section 5 – Retention of title

1. the delivered goods remain our property until full payment has been made.

2. the customer is obliged to inform us immediately in the event of access by third parties to the goods subject to retention of title.

3. the customer is entitled to resell the reserved goods in the ordinary course of business. The customer hereby assigns to us all claims arising from such resale in the amount of the invoice total.

Section 6 – Warranty / Liability

1. the statutory warranty periods shall apply. For business customers, the warranty period is 12 months from delivery.

2 In the event of justified complaints, we shall, at our discretion, either rectify the defect or deliver a replacement. If the subsequent performance fails, the customer may demand a reduction in price or withdraw from the contract.

3. claims for damages are excluded, unless they are based on intentional or grossly negligent breach of duty or on the breach of essential contractual obligations.

Section 7 – Data protection

We collect, process and use the customer’s personal data only in accordance with the applicable statutory provisions. Further information can be found in our privacy policy.

Section 8 – Copyright and property rights

All content, illustrations, texts, designs or other materials created by X-Line24 GmbH are subject to copyright or other intellectual property rights. Reproduction, publication or further use is only permitted with our express written consent.

Section 9 – Place of jurisdiction / Applicable law

1. The place of performance and exclusive jurisdiction shall be Paderborn, Germany, provided that the customer is a merchant, a legal entity under public law or a special fund under public law.

2. the law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.

3 German law shall apply exclusively to all contracts with foreign customers. The customer expressly recognizes this place of jurisdiction.

Section 10 – Severability clause

Should individual provisions of these terms and conditions be or become invalid in whole or in part or contain a loophole, the validity of the remaining provisions shall remain unaffected. The invalid or missing provision shall be replaced by a valid provision that most closely reflects the economic purpose of the original.
